1. Acceptance of Terms

These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you" or "Customer") and Revelry AI ("Revelry", "we", "us", or "our") governing your access to and use of the Revelry AI API gateway service, website at revelry-api.com, dashboards, documentation, and any related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

If you do not agree to these Terms, do not access or use the Services.

2. Description of the Services

Revelry AI provides an OpenAI-compatible API gateway that aggregates and routes requests to multiple large language models ("Models") provided by third parties, including but not limited to Anthropic Claude, OpenAI GPT, Meta Llama, Amazon Nova, and DeepSeek. The Services include request routing, rate limiting, usage metering, billing, and an administrative dashboard.

The Services are a technical relay and aggregation layer. Revelry does not develop, train, or own the underlying Models. Model availability, response quality, latency, and content are determined by the upstream Model providers.

We may add, modify, deprecate, or remove Models at any time. We will make reasonable efforts to provide advance notice of material changes.

3. Account Registration and Security

To use the Services you must register an account with accurate, current, and complete information, including a valid email address that you control. You agree to keep account information up to date.

Account registration requires email verification and administrator approval. We reserve the right to reject or revoke accounts at our sole discretion, including for suspected fraud, abuse, or violation of these Terms.

You are responsible for maintaining the confidentiality of your login credentials and API keys, and for all activity that occurs under your account. You must promptly notify us of any unauthorized access or use.

You must be at least 18 years old or the age of majority in your jurisdiction, whichever is greater, to use the Services.

4. Acceptable Use

You agree not to use the Services to:

  • violate any applicable law, regulation, or third-party right, including intellectual property, privacy, or publicity rights;
  • generate or distribute content that is unlawful, defamatory, harassing, threatening, hateful, discriminatory, sexually explicit involving minors, or that promotes violence;
  • create, distribute, or facilitate malware, ransomware, phishing, spoofing, fraud, spam, or other malicious activity;
  • engineer content intended to deceive individuals about its artificial origin in contexts where such deception is unlawful or harmful;
  • generate weapons of mass destruction, weapons-grade cybersecurity exploits, or instructions enabling violence or mass harm;
  • conduct mass surveillance, biometric identification of private individuals without consent, or profiling based on protected characteristics;
  • interfere with, disrupt, or attempt to gain unauthorized access to the Services, upstream Model providers, or any related systems;
  • probe, scan, or test the vulnerability of the Services, or bypass access controls, rate limits, or authentication mechanisms;
  • resell, sublicense, or provide the Services to third parties in a manner that is not expressly permitted without a separate written agreement;
  • use the Services to compete with Revelry AI by training, fine-tuning, or improving a competing Model or API gateway using outputs obtained through the Services.

You must also comply with the acceptable use policies of the upstream Model providers. In the event of conflict, the stricter policy applies.

We may suspend or terminate your access immediately and without notice for any suspected violation.

5. Fees, Billing, and Payment

Usage is billed on a pay-as-you-go basis. Prices for each Model are published on the Services and may be updated from time to time. Price changes apply to requests made after the change takes effect.

You prepay by topping up your account balance. Requests are metered in real time based on input and output tokens reported by the upstream providers or estimated if not reported. We reserve the right to retroactively correct billing errors within ninety (90) days.

Payment methods include Alipay (CNY) and PayPal (USD). You are responsible for all applicable taxes, duties, and currency conversion costs. Prices are exclusive of VAT unless otherwise noted.

Account balances are non-refundable once consumed. Unused balances may be refunded at our discretion if requested within thirty (30) days of top-up, subject to a reasonable processing fee. We may set expiration terms on promotional credits.

When your balance falls below ¥20 CNY or $3 USD, the Services will pause processing your API requests until you top up. If your balance is below the above threshold and you wish to close your account and request a refund, please contact the administrator.

If your balance is insufficient, requests will be rejected. Persistent negative balances may result in account suspension.

6. Customer Content and Outputs

"Customer Content" means the prompts, inputs, and any other data you submit to the Services. "Outputs" means the text, code, and other content returned to you by the Models in response to Customer Content.

As between you and Revelry, you retain all rights in Customer Content and, to the extent permitted by applicable law and the upstream Model terms, in Outputs. You grant Revelry a limited, non-exclusive, worldwide license to use Customer Content and Outputs solely to operate, provide, maintain, secure, and improve the Services, including routing requests to Model providers and storing logs for billing, abuse detection, and debugging.

You are solely responsible for Customer Content and for ensuring you have all rights and consents necessary to submit it. You are solely responsible for evaluating and using Outputs; they may be inaccurate, biased, or unsuitable for your use case.

Outputs are generated by probabilistic models and are not guaranteed to be accurate, original, fit for any particular purpose, or free of third-party rights. Do not rely on Outputs for medical, legal, financial, or other professional advice.

We retain request and response metadata (timestamps, token counts, model, IP, status codes) for operational and billing purposes. We do not use Customer Content to train our own models.

7. Rate Limits and Service Levels

We apply per-account, per-key, and platform-wide rate limits to protect the Services. Limits may change without notice. Exceeding limits results in temporary rejection of requests with HTTP 429.

The Services are provided on an as-available basis. We do not guarantee specific availability, latency, or throughput unless expressly stated in a separate service level agreement.

Scheduled maintenance, upstream provider outages, and network conditions may affect availability.

8. Intellectual Property

The Services, including all software, design, text, graphics, logos, and documentation, are owned by Revelry or its licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your active account period and in accordance with these Terms. All rights not expressly granted are reserved.

"Revelry AI", the Revelry logo, and related marks are trademarks of Revelry. You may not use them without our prior written consent.

9. Third-Party Services and Models

The Services route requests to Models and infrastructure operated by third parties, including but not limited to Anthropic, OpenAI, Amazon Web Services, Meta, and others. Your use of Models is also subject to the applicable third-party terms and policies. We are not responsible for third-party acts or omissions.

If a Model provider suspends or revokes access, we may be required to restrict or remove the corresponding Model from the Services without liability.

10. Privacy and Data Protection

Our Privacy Policy describes how we collect, use, and safeguard personal information. By using the Services you consent to the practices described in the Privacy Policy.

You are responsible for complying with all privacy and data protection laws applicable to Customer Content, including obtaining necessary consents and providing required notices to data subjects before submitting their data to the Services.

11. Suspension and Termination

You may close your account at any time by contacting support. Upon closure, access to the Services will be disabled and any unused prepaid balance will be refunded after deducting the fees incurred for usage already billed.

We may suspend or terminate your account, with or without notice, for any violation of these Terms, suspected fraud, non-payment, legal requirement, or to protect the Services or third parties.

Sections 4 (Acceptable Use), 6 (Customer Content), 8 (IP), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), and 17 (Governing Law) survive termination.

12. Disclaimers

THE SERVICES AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

WE DO NOT WARRANT THAT OUTPUTS ARE ACCURATE, TRUTHFUL, COMPLETE, ORIGINAL, OR FIT FOR YOUR PURPOSE. YOU BEAR ALL RISK ASSOCIATED WITH USING OUTPUTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL REVELRY, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, REGARDLESS OF THE LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You will indemnify, defend, and hold harmless Revelry, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your Customer Content, (b) your use of the Services or Outputs, (c) your violation of these Terms or applicable law, or (d) your violation of any third-party right.

15. Changes to the Terms

We may update these Terms from time to time. Material changes will be announced via the Services or email at least fourteen (14) days before taking effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services.

16. Force Majeure

Neither party will be liable for any delay or failure to perform resulting from causes beyond reasonable control, including acts of God, natural disasters, war, terrorism, strikes, epidemics, governmental actions, power or network failures, or failures of third-party providers.

17. Governing Law and Disputes

These Terms are governed by the laws of Hong Kong SAR, without regard to conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or related to these Terms will be submitted to arbitration in Hong Kong under the Hong Kong International Arbitration Centre (HKIAC) rules, conducted in English by a sole arbitrator. The arbitral award is final and binding. Nothing in this clause prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

18. Miscellaneous

These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between the parties regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
